By providing a payment method, the User authorizes and consents to Nadascore, through the applicable payment service provider, automatically charging the applicable fees for each billing period until the subscription is cancelled in accordance with these Terms.
All applicable taxes, including Value Added Tax (VAT), where applicable, are included in the prices displayed in Indonesian Rupiah (IDR) on the pricing page, unless otherwise stated.
If any payment cannot be processed or successfully charged for any reason, including but not limited to insufficient funds, an expired payment method, transaction rejection, or errors within the payment service provider's systems, Nadascore reserves the right to notify the Customer and provide a grace period of at least 7 (seven) calendar days to update payment information or settle the outstanding payment.
During such grace period, access to paid features may be restricted, partially suspended, or subject to certain usage limitations. If payment remains outstanding after the expiration of the grace period, Nadascore reserves the right to suspend, downgrade, or restrict access to the Services until all outstanding invoices and payment obligations have been paid in full.

Subscriptions will automatically renew at the end of each billing period (monthly or annually) at the rate applicable at the time of renewal, unless the User cancels the subscription prior to the applicable renewal date.
Nadascore will provide prior notice of any applicable pricing changes. Any material changes to subscription pricing will be communicated to the Customer no later than 30 (thirty) calendar days before the revised pricing becomes effective.
If the Customer does not agree to the revised pricing, the Customer shall have the right to cancel the subscription prior to the effective date of the new pricing. If the Customer continues to use or maintain the subscription after the effective date of the pricing change, such action shall be deemed the Customer's agreement to and acceptance of the revised pricing.
B.5 Subscription Plan Upgrades and Downgrades
Mid-cycle Upgrade: Fees will be calculated on a prorated basis based on the difference between the User's current subscription plan and the newly selected plan. Additional features included in the new plan will be activated immediately upon the change, and the User's payment method will be charged the applicable prorated amount.
Mid-cycle Downgrade: The change will take effect at the beginning of the next billing period. Until the end of the current billing period, the User will continue to have access to all features available under the previous subscription plan.
B.6 Subscription Cancellation and Refunds
Users may cancel their subscription at any time through the settings menu or any other feature made available by Nadascore from time to time.

Deletion Upon User Request: Users may request deletion of their data in accordance with the provisions set forth in the Company's Data Deletion Policy.
C. Tester Code Program
Evaluation access for the Studio and Imprint packages is available through the tester code program, which provides access with a scope equivalent to the Imprint package for a period of 30 (thirty) days. Tester codes are granted at the Company's discretion on a case-by-case basis after a prospective customer has participated in a product demonstration session (book-a-demo).
Tester codes are tied to the email address used at the time of redemption, may not be used more than once, and will automatically expire at the end of the evaluation period. Upon expiration of the evaluation period, the account will revert to the Debut (free) plan. No charges will be incurred during or after the evaluation period unless the User separately elects to subscribe to a paid package.
D. Beta Features
Certain features within the Services may be designated as "Beta" on the platform interface. Beta Features are provided on an "as is" basis and may be modified, restricted, suspended, or discontinued at any time without prior notice. E. Consumer Rights
Nothing in this Article is intended to exclude, limit, waive, or reduce any rights, remedies, protections, or guarantees afforded to Customers under the applicable laws and regulations of the Republic of Indonesia, including but not limited to consumer protection laws.
In the event of any conflict between the provisions of this Article and any mandatory provisions of applicable law, such applicable legal provisions shall prevail over the provisions of this Article to the extent required by law.
F. User Seats and Access Model
Each paid package includes a roster limit and unlimited View-Only Seats:
Roster Limit (Full Seats). The number of artists that may be actively managed under each plan ("Full Seats") is set out in Article 2.1. The account holder (administrator) has full access and may manage rosters, create and use AI-powered features, complete tasks, manage account settings, and access administrative and billing functions. Additional roster capacity above the applicable plan limit may be purchased as an add-on where available, as set out in Article 2.2.
View-Only Seats. All paid packages (the Artist package and above) include View-Only Seats on an unlimited basis. A View-Only Seat permits its holder only to view and access information available within the workspace, without any right to make changes. View-Only Seats are not available on the Debut (free) package and are not offered as a paid add-on pack.
Account or credential sharing (seat sharing), namely the use of a single account or a single set of credentials by more than one individual, is prohibited. Violations of this provision may result in access restrictions, account suspension, or other actions deemed necessary by Nadascore.
Customers are responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, and other authentication information, and are responsible for all activities conducted through such accounts. Customers must promptly notify Nadascore if they become aware of or suspect any unauthorized access, security breach, or misuse of an account or access credentials.

Customers are solely responsible for all activities conducted through their accounts and must ensure that each user granted access to the Services complies with these Terms and all applicable laws and regulations.
Nothing in the Services shall create any partnership, agency, fiduciary, joint venture, employment, or representative relationship between Nadascore and the User.
When you pitch an artist to an event listing, the name and account email address on your Nadascore account are disclosed to the organizer of that listing so that they may contact you. Organizers’ contact details are not disclosed to you, and Nadascore does not provide a reply channel between you.

The Company shall not be responsible for the legality, accuracy, ownership, or legal basis of any data or information provided by Users. Users are solely responsible for any use of third-party data or information through the Services.
Users agree to indemnify, defend, and hold harmless Nadascore from and against any claims, demands, losses, administrative sanctions, fines, costs, or other liabilities arising from the User's violation of the provisions of this Article or of any applicable laws and regulations relating to personal data protection, privacy, or other third-party rights.
I. Monitoring and Abuse Prevention
To maintain the security, integrity, stability, and compliance of the Services, the Company reserves the right to conduct monitoring, review, investigation, and other actions reasonably deemed necessary with respect to the use of the Services.
Such monitoring may be carried out to detect, prevent, or address violations of these Terms, unlawful activities, misuse of AI features, unauthorized automated usage, attempts to circumvent technical or commercial restrictions imposed on the Services, unauthorized access, interference with system security, or any other activities that may adversely affect Nadascore, other Users, or third parties.
Where Nadascore reasonably believes that a violation described in this Article has occurred or may occur, the Company reserves the right to take any action deemed necessary, including issuing warnings, restricting access, suspending services, removing certain data or content, revoking usage rights, terminating accounts, or taking any other action permitted under applicable law.
J. AI Features and AI Output
J.1 Use of AI Technology in the Services
The Services utilize AI technologies, machine learning, large language models (LLMs), predictive analytics, natural language processing, and similar technologies provided by Nadascore and/or third-party technology providers to generate analyses, recommendations, insights, classifications, summaries, scores, and other forms of output ("Output"). When using AI features, Users may provide inputs ("Input") in the form of data, instructions, queries, prompts, materials, or other information that will be processed by the system to generate Output. The Company does not guarantee that any Output generated will always be accurate, complete, up to date, error-free, or suitable for any particular purpose.
J.2 Ownership and Use of Output
To the extent permitted under applicable law and subject to any third-party rights that may apply, Users may use the Output generated through the Services for their internal purposes. The Company does not guarantee that Output will be unique or exclusive to any User. Users acknowledge that similar or identical Output may be generated for other users.
J.3 Restrictions on the Use of Output for AI Model Training
Users may not use the Services, Output, data, analytics, reports, or other information obtained through the Services to:
- build, train, develop, enhance, or improve any artificial intelligence or machine learning models belonging to the User or any third party; or
- develop any competing database, product, or service that directly competes with Nadascore, unless the User has obtained Nadascore's prior written consent.
These restrictions apply solely to the User's use of data and do not limit Nadascore's rights as provided in Article 10 paragraph d.
J.4 Service Improvement and Continuous Learning by Nadascore
Nadascore distinguishes Market Data from Account Activity Data, as defined in the Privacy Policy. Market Data is used to provide the Services to all Users. Account Activity Data is used to provide the Services to the Account that generated it, including to personalize that Account's own recommendations, and is not shown to, or used to shape the recommendations of, any other Account, including another Account that follows or manages the same artist.
Account Activity Data is used to improve recommendations for other Users only if the Account has opted in to AI Data Learning under theAI Data Learning Addendum, which forms part of these Terms for participating Users. AI Data Learning is off by default and may be switched on or off at any time in Settings → Privacy. For participating Accounts, Account Activity Data is used only as de-identified statistics combined across at least five participating Accounts, which are made available only to participating Accounts.
Connected Account Data is never made available to other Users and is included in AI Data Learning only in de-identified, aggregated form and only for participating Accounts. Research-derived playbooks, the Predictor, and insights built from Market Data remain available to all Users regardless of participation.
Nadascore does not use data licensed from Soundcharts to train any artificial intelligence model, whether Nadascore's own or a third party's, and does not use identifiable Personal Data of Users to train third-party foundation AI models.
Aggregated and anonymized data are excluded from the definition of "Personal Data" as further set forth in the Company's Data Deletion Policy.
The legal basis for AI Data Learning is the User's consent, which may be withdrawn at any time without affecting processing carried out before withdrawal. The legal basis for using Account Activity Data to provide and personalize the Services for the Account that generated it is the performance of the agreement with the User and Nadascore's legitimate interests in the development and improvement of the Services, as recognized under Law No. 27 of 2022 concerning Personal Data Protection ("PDP Law"). Nadascore ensures that such interests do not override the rights and fundamental interests of Users as Data Subjects.
J.5 Decision-Making Based on Service Output
Users acknowledge and agree that Output, recommendations, scores, analyses, insights, predictions, and other information generated through the Services are not intended to serve as the sole basis for business, commercial, investment, legal, employment, or other important decisions.
Users are responsible for conducting independent verification and assessment before taking any action based on Output generated through the Services.
J.6 Limitations Regarding Scores, Analyses, and Recommendations
Scores, market analyses, trend analyses, promotional recommendations, collaboration recommendations, performance estimates, performance indicators, insights, and other information generated through the Services are the result of data processing, algorithmic analysis, AI models, and/or third-party data sources available at the time such processing is performed. - an official or professional measurement or assessment;
- a guarantee of performance or prediction of a specific outcome; or
- legal, financial, investment, tax, accounting, employment, or other professional advice.

K.2 Data Processing by Third-Party AI Providers

Nadascore shall provide written notice to the User within a reasonable time of any claim subject to indemnification under this Article, provided that any delay in providing such notice shall not relieve the User of their indemnification obligations except to the extent that the User suffers material prejudice as a result of such delay.
Q. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, internet or infrastructure disruptions, changes to or disruptions of third-party platforms or APIs, government actions, or labor disturbances.

Provisions that survive termination include, but are not limited to, provisions relating to outstanding payment obligations, intellectual property rights, data usage, limitation of liability, indemnification, personal data protection, confidentiality, dispute resolution, governing law, and any other provisions that by their nature and purpose are intended to survive termination.
U. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
Any dispute arising out of or relating to these Terms or the User's use of the Services shall first be resolved through consultation and good-faith negotiation.
If a dispute cannot be resolved through consultation within 30 (thirty) calendar days from the date written notice of the dispute is first provided by either party, either party may submit the dispute to arbitration.
The dispute shall be resolved through arbitration administered by the Indonesian National Arbitration Board (BANI) in Jakarta in accordance with its applicable rules and procedures.
V. Assignment
Users may not assign or transfer these Terms or their account to any third party without Nadascore's prior written consent.
Nadascore may assign these Terms in connection with a merger, acquisition, or sale of assets. Where reasonably practicable, Nadascore will provide notice to Customers of any assignment that materially affects the operation of the Services or the party responsible for providing the Services.
W. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
To the extent permitted by applicable law, any invalid, illegal, or unenforceable provision shall be deemed modified and interpreted so as to most closely reflect the original intent of the parties while remaining valid and enforceable.
X. Entire Agreement
These Terms, together with the Privacy Policy and Data Deletion Policy, constitute the entire agreement between the User and Nadascore regarding the Services and supersede all prior agreements, understandings, and communications, whether oral or written.
Where applicable, any subscription order form, pricing schedule, addendum, or other written agreement expressly agreed between Nadascore and the Customer forms part of the agreement between the parties. In the event of any conflict, such document shall prevail over these Terms solely to the extent of such conflict.
In the event of any conflict or inconsistency among the documents governing the relationship between Nadascore and the Customer, the following order of precedence shall apply:
- Order Form, Enterprise Agreement, or other commercial document expressly executed by the parties;
- Data Processing Addendum (if any);
- These Terms and Conditions of Service;
- Privacy Policy; and
- Data Deletion Policy.
Each document shall prevail over the documents listed below it only to the extent of an actual conflict directly relating to the subject matter governed by such document.
